Draft

This is a draft for review. It is not in force yet. Parts marked “To confirm” wait for a decision.

Terms of service

What you get from Perly Pay, what you pay, and what we can't do with your money.

Last edited 15 October 2026

Who we are

Perly Pay is a service of Perly ("we"). These terms are between us and the business that signs up ("you").

Perly is [To confirm: the legal entity's name, registered address and company number].

What the service is

Software that makes payment addresses from public keys you give us, shows them to your buyers, watches public blockchains, and tells you and your buyers what happened.

We never hold, receive or send your money. Payments go from your buyer straight to an address only your keys control. We are not a bank, a payment institution, an exchange or a custodian.

Your wallet and your keys

  • You give us public keys only. Never send us a seed phrase or a private key; we will never ask for one.
  • You are responsible for your wallet, its backups and its keys, and for checking that the addresses we show are yours. If you lose your keys, we cannot recover your money, and we cannot reverse, freeze or move a payment.
  • Refunds are sent by you, from your own wallet. We never refund anyone.

Plans and payment

  • Plans are priced per month or per year and listed on Pricing. We take 0% of your volume.
  • Plans are paid through Perly Pay, in bitcoin or stablecoins. Each period is an invoice; nothing is taken from your wallet without you sending it.
  • An unpaid plan falls back to Free. If a period ends unpaid, your plan stays 7 more days (14 on a yearly plan); then your account moves to Free. Nothing is locked or deleted: your settings and data stay, and payments keep reaching your wallet. Pay, and your plan comes back.
  • Plan limits never block. Going over your plan's paid invoices for the month never stops you making invoices or taking payments. We ask you to move up a plan, in your Telegram chat and in the dashboard.
  • Fair use. If your use stays far above your plan for a long time, or harms the service, we may ask you to move to a plan that fits. Your buyers' payments are never held or blocked for it.
  • Prices may change with 30 days' notice; a period you've paid keeps its price.

Your sales

  • You are the seller. You set your prices, your refund terms and what you deliver, and you answer to your buyers and to the law for them, including tax.
  • You may not sell what our Acceptable use policy forbids.
  • For your buyers' personal data you are the controller and we are your processor (Privacy notice). If a buyer asks to be forgotten, erase them from their customer page.

Your business name

Your buyers see your business name, and every checkout says they pay you, not Perly.

A name or payment-link address that poses as Perly, a wallet, an exchange, a bank or a payment brand is refused, look-alike letters included. A page that impersonates someone may be suspended.

Sanctions

  • Every sender of every payment is screened: against OFAC's list of sanctioned addresses, by TRM Labs and, for stablecoins, against the issuer's own freeze list. A refund address is screened before you are asked to send to it.
  • A payment from a sanctioned address, or from one the stablecoin's issuer has frozen, grants nothing. The invoice is not fulfilled, and it can't be accepted by hand.
  • We never refund automatically, and cannot: the money is in your wallet, not with us.
  • What you do with money from such an address is your responsibility, and must be lawful. Sending it back to a sanctioned person may itself be prohibited, and you may have to report it. Take legal advice.
  • Other warnings (a scam-list address, a short payment, a screening that did not answer) hold the invoice for your review.
  • How the screening works, step by step: Sanctions and risk.

Email

  • We send email for you: receipts, invoices, reminders, refund requests and team invites, from our domain, as "your business via Perly Pay", with replies going to you.
  • News about your business comes to your Telegram chat, not by email: payments, refunds, payments to review, failing webhooks and your plan. Without a chat it waits in the dashboard. We email you only sign-in codes, team invites, and security alerts about your wallets and codes.
  • In test mode, email goes only to your team: your members and your support address. Test your buyers' emails by buying with your own address.
  • In live mode, per business: at most 3 emails of one kind to one address a day, 500 emails you send by asking (invoices, refund requests, reminders) a day, and 20 team invites a day. An email over a limit is held, not sent, and the dashboard says so.
  • Receipts and renewals caused by real payments are never held. An address that bounced or complained is not emailed again.

Data retention

  • IP addresses in the audit log: 30 days.
  • IP addresses in sign-in records: 30 days.
  • Sign-in sessions, with their IP address and browser: deleted after 30 days unused.
  • Emails we sent (address and contents): 90 days.
  • Telegram messages we sent: 90 days.
  • Codes sent to Telegram, once expired: 1 day.
  • Webhook messages and their delivery records: 90 days.
  • Stored API answers (for Idempotency-Key retries): 2 days.
  • Team invites, once accepted or expired: 30 days.
  • Buyer portal links, once expired: 1 day.
  • Buyer sign-in accounts (a sign-in that belongs to no business's team), unused: deleted after 90 days, unless a subscription on that email is still running.
  • Messages sent through the contact form: 180 days.
  • Security reports sent through the contact form: 1 year.
  • Audit log (who did what in a business): 2 years.
  • Your business's own records (invoices, payments, customers, receipts) stay while your account is open. Deleting your business deletes them at once (Privacy notice).
  • A receipt is never changed or deleted once issued; a refund gets a receipt of its own. Keeping receipts for tax is yours: download them before you delete your business.

What we promise, and what we don't

We work to keep the service running and correct. Blockchains, networks and wallets are outside our control; a delayed confirmation or a wrong network chosen by a buyer is not something we can undo.

To the extent the law allows, our liability is limited to what you paid us in the 12 months before a claim. [To confirm: this cap, with a lawyer]

Ending

You can stop at any time, and delete your business in Settings. We may suspend an account that breaks these terms. Either way, every payment already made stays in your wallet — we never had it.

Law and disputes

  • These terms are governed by [To confirm: the governing law]. Disputes go to [To confirm: the courts or forum].
  • We will tell you about changes to these terms [To confirm: how far ahead, and how]. Questions: the contact form.
  • You accept these terms and the Privacy notice when you create a business. When they change, its owner is asked to accept the new version in the dashboard.
